Edtech major upGrad, founded by entrepreneur Ronnie Screwvala, has acquired a majority stake in internship and early-talent platform Internshala.
The deal, largely structured as a stock swap, marks a strategic step in upGrad’s ambition to create an integrated ecosystem that connects education, skilling and employment in one seamless journey.
While financial details were not officially disclosed, media reports suggest the transaction values Internshala at around Rs 100 crore. About 90 percent of the consideration is believed to have been structured as a stock swap. Global advisory firm Investec acted as the exclusive financial adviser to Internshala.
Why This Acquisition Matters
Connecting Learning to Employment
India’s education and employment systems have long operated in silos. Students complete courses and certifications but often struggle to find relevant internships and entry-level jobs.
With this acquisition, upGrad aims to bridge that gap.
Learners on upGrad’s platform will now gain access to internships and job listings hosted on Internshala. At the same time, students entering through Internshala will be channelled into structured skilling programmes offered by upGrad.
This two-way integration creates a continuous pipeline from learning to earning.
Chirag Samdaria, Head of Corporate Strategy and Growth at upGrad, explained the rationale clearly. He said education and employment in India have operated separately for too long, and this move strengthens the earliest layer of the career journey where intent is highest and outcomes can be meaningful.
About Internshala: A 34 Million-Strong Community
Founded in 2010, Internshala has grown into one of India’s largest early-career platforms.
Key numbers highlight its scale:
- Over 34 million registered users
- Around 450,000 employers on the platform
- Roughly 3 million active applicants every year
- More than 40 percent of users from Tier II and Tier III cities
- Current revenue base of around Rs 45 crore
The strong presence beyond metro cities reflects Internshala’s role in democratizing access to internships and first-job opportunities for students across India.
The Gurugram-based company will continue to operate as an independent brand under its Founder and CEO, Sarvesh Agrawal.
What Changes After the Deal?
Product Innovation and AI-Led Hiring
upGrad has announced plans to invest additional resources into Internshala to accelerate:
- Product innovation
- AI-led talent matching
- Enterprise hiring models
The goal is ambitious. upGrad wants to scale Internshala’s revenue from around Rs 45 crore to Rs 100 crore and beyond within the next 18 to 24 months.
Shift Towards Enterprise-Focused Model
Internshala is also expected to gradually shift towards a stronger enterprise-focused approach. By leveraging upGrad’s corporate skilling and learning and development relationships, the platform can offer companies pre-trained, job-ready talent at scale.
This integration creates a powerful value proposition:
- Students gain access to structured courses and real-world work opportunities.
- Employers get access to skilled candidates who are already trained to meet industry needs.
Internshala Will Continue as an Independent Brand
Despite the acquisition, Internshala will maintain its brand identity and leadership structure.
Sarvesh Agrawal emphasized that the partnership feels natural, combining learning with opportunity. He highlighted Internshala’s 15-year journey of helping students launch their careers and expressed confidence that joining forces with upGrad will amplify its impact.
By leveraging upGrad’s technology infrastructure and scale, Internshala plans to expand its offerings, strengthen its product capabilities and grow its user base further.
upGrad’s Bigger Vision
Founded in 2015, upGrad has built a strong presence in online and hybrid skilling programmes. Its B2C portfolio includes certifications, diplomas, master’s degrees and executive doctorates delivered in partnership with Indian and global universities.
Degrees are awarded by partner universities, while upGrad provides the technology, curriculum design and learner support.
In addition to its consumer business, upGrad operates:
- An enterprise skilling division
- Recruitment and staffing services
- Corporate learning and development solutions
The acquisition of Internshala strengthens the earliest stage of the career funnel, allowing upGrad to capture users even before they enrol in formal skilling programmes.
Building a Full Career Lifecycle Platform
This move positions upGrad to serve learners across the entire career lifecycle:
- Skill discovery and certifications
- Internships and practical exposure
- Entry-level employment
- Mid-career upskilling and executive education
Few edtech platforms in India currently offer such an integrated journey. By combining Internshala’s early-talent marketplace with its own skilling ecosystem, upGrad is aiming to create a more aligned talent ecosystem for both learners and employers.
The Road Ahead
India’s job market is evolving rapidly, driven by technology, digital transformation and changing skill requirements. Companies increasingly demand job-ready talent, while students seek clearer pathways from education to employment.
The upGrad–Internshala deal reflects this shift.
If executed well, the integration could:
- Improve employability outcomes for students
- Reduce hiring friction for employers
- Strengthen upGrad’s competitive position in the edtech market
With a target to double Internshala’s revenue within two years, the pressure is now on execution.
Final Thoughts
Ronnie Screwvala’s upGrad has taken another bold step in reshaping India’s skilling ecosystem. By acquiring a majority stake in Internshala, the company is not just expanding its portfolio — it is redefining its role in the career journey of millions of young Indians.
From structured education and certifications to internships and first jobs, upGrad is moving closer to building a one-stop career platform.
If the integration delivers on its promise, this acquisition could mark a turning point in how education and employment connect in India.
